BOOTS ON THE GROUND SERVICES LLC
Effective Date: June 15, 2026
1. PARTIES
This Independent Contractor Agreement is entered into between Boots on the Ground Services LLC (referred to as "BOTG" or "Company") and the individual creating a field agent account on the BOTG platform (referred to as "Field Agent" or "Contractor"). The platform is available for use throughout the United States and this agreement applies to all jobs performed in any state.
2. INDEPENDENT CONTRACTOR STATUS
The Field Agent is an independent contractor and not an employee, partner, joint venturer, or agent of BOTG. BOTG does not direct or control the Field Agent's work, schedule, methods, or means of completing jobs. The Field Agent has the right to accept or decline any job posted on the platform at their sole discretion.
Nothing in this agreement shall be interpreted to create an employment relationship. The Field Agent is not entitled to employee benefits, workers compensation, unemployment insurance, or any other benefits afforded to BOTG employees.
3. SCOPE OF SERVICES
The Field Agent agrees to provide visual property documentation services through the BOTG platform including but not limited to:
- Exterior property photography
- Drive-by property observation
- Vacancy and occupancy assessment
- Neighborhood and street condition documentation
- Signage and notice photography
- Contractor arrival confirmation
- Before and after property documentation
- General condition observation and reporting
All services are limited to visual observation and documentation from publicly accessible or client-authorized vantage points only.
4. SERVICES NOT PERMITTED
The Field Agent expressly agrees NOT to:
- Perform or represent any service as a licensed home inspection
- Enter any property without explicit written authorization from the client provided through the BOTG platform prior to beginning the job
- Perform any service requiring a professional license including structural assessment, electrical evaluation, plumbing assessment, pest inspection, or appraisal
- Represent themselves as an employee, agent, or representative of BOTG
- Represent themselves as a licensed inspector or real estate professional
- Interact with, confront, or disturb any occupant of a property
- Trespass onto private property without authorization
- Tamper with, remove, or disturb any item, notice, mail, or fixture on a property
5. FIELD AGENT ACKNOWLEDGMENTS
The Field Agent acknowledges and agrees that:
- They are performing visual observation services only and their reports do not constitute a licensed inspection
- They will not hold themselves out as a licensed professional of any kind in connection with BOTG jobs
- They are solely responsible for their own safety while performing jobs
- They are solely responsible for complying with all local, state, and federal laws while performing jobs throughout the United States
- They will not enter into any verbal or written agreements with clients outside of the BOTG platform
- BOTG assumes no liability for the Field Agent's conduct, safety, or actions while performing jobs
6. IDENTITY VERIFICATION
Field agent identity verification: Before accepting open jobs or appearing in the client directory, field agents must complete identity verification through Stripe Identity (Stripe, Inc.), our third-party identity verification provider. The process requires a valid government-issued photo ID (such as a U.S. driver's license or state ID card) and a live selfie matched to that ID in a Stripe-hosted flow.
BOTG does not display field agents' ID document images to clients. When verification succeeds, clients may see an "Identity verified" badge and verification date on the field agent's public profile. BOTG stores verification status, timestamps, and related account metadata on our systems. Stripe processes and retains identity verification data under Stripe's terms and privacy policy.
Failure to complete verification, failed verification, expired verification, or suspected fraud may prevent a field agent from accepting jobs, appearing in client search results, or using certain platform features until verification succeeds.
The Field Agent consents to identity verification through Stripe Identity and to BOTG receiving verification status from Stripe. The Field Agent will not attempt to bypass, spoof, or falsify identity verification.
7. NO DIRECT SOLICITATION / PLATFORM EXCLUSIVITY POLICY
Field Agents are strictly prohibited from directly soliciting, contacting, or conducting business with any client they meet or connect with through the BOTG platform outside of the platform. This prohibition includes but is not limited to:
- Sharing personal phone numbers, email addresses, social media handles, or any other direct contact information with clients
- Accepting payment from clients through any method outside of the BOTG platform
- Offering to perform property inspection, documentation, or any related services directly to a client outside of BOTG
- Contacting a client through any channel including phone, email, text message, social media, or in person to solicit business
- Accepting referrals from clients to perform work that bypasses the BOTG platform
- Creating or distributing business cards, flyers, or promotional materials referencing services that compete with BOTG while active on the platform
All jobs, communications, payments, and agreements between clients and Field Agents who have connected through the BOTG platform must be conducted exclusively through the platform. This applies for the duration of their relationship and for a period of 24 months following the completion of their last job together on the platform.
Consequences of Violation: Violation of this policy may result in:
- Immediate and permanent account suspension
- Forfeiture of any pending payments on the platform
- Legal action to recover damages and platform fees lost as a result of the circumvention
- A penalty fee of $500 per occurrence as liquidated damages which both parties agree is a reasonable estimate of harm caused to the platform
8. DOCUMENTATION STANDARDS
The Field Agent agrees to:
- Submit only accurate, honest, and unaltered photos and documentation
- Not edit, filter, or manipulate photos submitted through the platform
- Complete all required checklist items for each job type
- Upload documentation within the time frame specified in the job request
- Include clear, well-lit photos that accurately represent the property condition
Submission of falsified or misleading documentation may result in immediate account termination and potential legal action.
9. PROPERTY ACCESS POLICY
The Field Agent shall not enter any property including yards, driveways beyond the public approach, porches, or any enclosed or fenced area without receiving explicit written authorization from the client through the BOTG platform prior to beginning the job.
If a property appears unsafe, if an occupant is hostile, or if completing the job would require trespassing the Field Agent must immediately cancel the job through the app and report the situation. The Field Agent's safety is the top priority.
BOTG assumes no liability for any incident arising from unauthorized property access by a Field Agent.
10. COMPENSATION & PLATFORM FEE
The Field Agent will be compensated based on the following structure:
Job Payout: The Field Agent receives the posted job amount minus a platform fee of 10% of the job amount. The minimum platform fee deduction is $2.00. If 10% of the job amount is less than $2.00 a flat deduction of $2.00 will apply.
Minimum Job Amount: All jobs posted on the platform have a minimum amount of $15.00. The Field Agent will never receive a payout of less than $13.00 on any job (being $15.00 minus the $2.00 minimum platform fee) unless a dispute results in a reduced or withheld payout.
Payout schedule and timing:
Payout trigger: Your job earnings are transferred to your Stripe Connect balance after the client approves your completed submission. If the client does not approve or dispute within 72 hours of submission, the job is automatically approved and payout processing begins on the same schedule.
Stripe settlement (client payments): Client job payments are processed by Stripe. BOTG can transfer your earnings only after Stripe makes those funds available on the platform account—not when the client first pays. For card payments, settlement is typically two (2) to seven (7) business days from the date the client pays, and may take longer for new platform accounts, bank (ACH) funding, charge review, or holidays. During this period funds may show as pending or incoming in Stripe.
Connect transfer: Once client funds have settled and your Stripe Connect account is verified and in good standing, BOTG automatically initiates transfer of your net earnings (posted job amount minus the field-agent platform fee) to your Connect balance. This step usually completes within minutes and does not require manual action by you, the client, or BOTG operations for each job. Use the Earnings tab and pull to refresh to sync status.
Withdrawal to bank: Funds in your Connect balance appear in the app as “Available for Payout.” Moving money from Connect to your linked bank account is a separate withdrawal you request in the app. Standard bank payouts typically arrive within one (1) to two (2) business days. Stripe may offer faster payout options where eligible, subject to Stripe fees and rules.
No instant-pay guarantee: BOTG does not advance or guarantee payment before client funds have cleared through Stripe, except where required by law. Early in platform operation or for your first jobs, payout may take longer while Stripe completes settlement.
Optional Tips: Clients may optionally leave a gratuity at approval. BOTG does not deduct a platform fee from tips; the Field Agent receives the full tip amount selected by the client. Tip payments are processed as a separate card charge from job funding.
Fee Summary:
- Field agent platform fee — 10% of job amount — Minimum $2.00
- Optional approval tips — 100% of tip amount paid by client (no BOTG platform fee on tips)
- Minimum job amount — $15.00
- Minimum field agent payout — $13.00
Tax Responsibility: The Field Agent is solely responsible for reporting all income earned through the platform to the appropriate federal and state tax authorities. Boots on the Ground Services LLC will issue a 1099-NEC form to Field Agents who earn $600 or more in a calendar year as required by law.
Payment Method: All payments are processed exclusively through the BOTG platform via our payment partner Stripe. The Field Agent must complete and maintain a valid Stripe Connect account to receive payouts. BOTG is not responsible for payment delays caused by incorrect banking information, incomplete Connect verification, Stripe or bank settlement rules, or client payment methods that take longer to clear.
11. RATINGS & REVIEWS
The Field Agent understands that clients may leave ratings and reviews following job completion. The Field Agent agrees not to manipulate, solicit, or coerce reviews. BOTG reserves the right to remove Field Agent accounts with consistently low ratings or reports of misconduct.
12. INSURANCE
The Field Agent is solely responsible for obtaining any insurance they deem necessary to perform their services including but not limited to general liability insurance and auto insurance. BOTG does not provide insurance coverage of any kind for Field Agent activities.
13. CONFIDENTIALITY
The Field Agent agrees to keep all property information, client details, job contents, and any information obtained during the course of a job strictly confidential. The Field Agent may not share, sell, or distribute any property information, photos, or client data obtained through the platform for any purpose other than completing the assigned job.
14. TERMINATION
Either party may terminate this agreement at any time. BOTG reserves the right to suspend or permanently remove any Field Agent account for violation of this agreement, the platform Terms of Service, or any conduct deemed harmful to the platform or its users.
15. INDEMNIFICATION
The Field Agent agrees to indemnify, defend, and hold harmless Boots on the Ground Services LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses including attorney fees arising from the Field Agent's performance of services, conduct, or violation of this agreement.
16. GOVERNING LAW & JURISDICTION
This agreement shall be governed by the laws of the State of California without regard to its conflict of law provisions. Field Agents operating in other states acknowledge that local laws may also apply to their activities and are solely responsible for ensuring their work complies with all applicable laws in their jurisdiction.
17. ENTIRE AGREEMENT
This agreement along with the BOTG Privacy Policy constitutes the entire agreement between the Field Agent and Boots on the Ground Services LLC and supersedes any prior understandings or agreements.
