BOOTS ON THE GROUND SERVICES LLC

1. ACCEPTANCE OF TERMS
By creating a client account on the Boots on the Ground (BOTG) mobile application you agree to be bound by these Client Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these terms you may not use the platform as a client. Your continued use of the platform constitutes acceptance of any future updates to these terms.
2. ABOUT THE PLATFORM
Boots on the Ground Services LLC (referred to as "BOTG," "we," "us," or "our") is a technology marketplace that connects property owners, real estate professionals, and other authorized parties with independent field agents for visual property documentation services. BOTG does not employ field agents, perform inspections, or provide any licensed real estate, appraisal, contracting, or inspection services of any kind.
BOTG serves solely as a technology platform facilitating connections between clients and independent field agents. All services are performed by independent contractors and not by BOTG. The platform is available for use throughout the United States.
3. DEFINITION OF CLIENT
For the purposes of this agreement the term "Client" refers to all users of the BOTG platform who post property documentation requests. This includes but is not limited to:
- Investors — individuals or entities acquiring, evaluating, or managing investment properties
- Wholesalers — individuals or entities assigning or facilitating the sale of real estate contracts
- Property Managers — individuals or entities managing properties on behalf of owners
- Landlords — individuals or entities who own and lease residential or commercial properties
- Homeowners — individuals who own and occupy or are evaluating their own property
All of the above are collectively referred to as "Client" throughout this agreement. Any future roles added to the platform will also fall under this definition unless otherwise specified.
4. CLIENT ELIGIBILITY
To use the BOTG platform as a client you must:
- Be at least 18 years of age
- Have legal authority to request documentation services for the properties you submit
- Provide accurate and truthful information during account creation
- Agree to and comply with these terms in their entirety
- Maintain a valid payment method on file at all times
5. CLIENT ACCOUNT RESPONSIBILITIES
As a client on the BOTG platform you are solely responsible for:
- Maintaining the security and confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring all property information submitted is accurate and complete
- Ensuring you have legal authorization to request documentation services for any property you post
- Promptly reviewing and approving or disputing completed job submissions within the designated timeframe
- Keeping your payment information current and valid
6. POSTING JOB REQUESTS
When posting a property documentation request through the BOTG platform you agree to:
- Provide accurate property address and location information
- Select only service types that fall within the visual observation and documentation scope of the platform
- Post jobs at a minimum job amount of $15.00 — job requests below this amount will not be accepted by the platform
- Set a realistic completion deadline that gives field agents adequate time
- Provide clear and specific instructions for what documentation is needed
- Not request any service that requires a licensed professional including licensed home inspections, structural assessments, appraisals, electrical evaluations, plumbing assessments, or pest inspections
- Not request any service that would require a field agent to trespass or enter a property without proper legal authorization
- Not post jobs for properties you do not have legal authority to have inspected or documented
7. PROPERTY ACCESS AUTHORIZATION
If a job requires a field agent to access areas beyond public vantage points including entering a yard, accessing a driveway, or entering the property itself you are solely responsible for:
- Ensuring you have legal authority to grant such access
- Providing explicit written authorization through the BOTG platform prior to the job being accepted
- Ensuring the field agent has safe and legal access to the property
- Notifying any tenants, occupants, or property managers as required by law prior to the visit
BOTG assumes no liability for any legal issues, disputes, or incidents arising from unauthorized property access. If a field agent is directed to access a property without proper authorization you assume full legal and financial responsibility for any consequences.
8. IMPORTANT DISCLAIMER — NOT A LICENSED INSPECTION SERVICE
By using the BOTG platform as a client you explicitly acknowledge and agree that:
- BOTG is not a licensed home inspection company
- Field agents are not licensed inspectors, contractors, appraisers, engineers, or real estate professionals
- All services are limited to visual observation and photo or video documentation only
- Field agent reports, photos, and notes are for general informational purposes only
- Field agent reports do not constitute a professional licensed inspection of any kind
- Field agent reports should never be used as the sole basis for any purchasing, financial, or legal decision
- You are solely responsible for obtaining any licensed professional inspections required by law, your lender, or your own due diligence process
- BOTG makes no representations or warranties regarding the accuracy, completeness, or reliability of any field agent report
This disclaimer is a material term of this agreement. If you do not agree with or understand this disclaimer you must not use the platform.
9. PAYMENT TERMS
Minimum Job Amount: All job requests must be posted at a minimum amount of $15.00. Job requests below $15.00 will be rejected by the platform and cannot be posted or accepted.
Client Service Fee: BOTG charges a client service fee of 15% of the posted job amount with a minimum fee of $2.00. If 15% of the job amount is less than $2.00 a flat fee of $2.00 will be charged. This fee is retained by BOTG and is non-refundable once a job has been accepted by a field agent.
Stripe Processing Fee: A payment processing fee of 2.9% of the total transaction amount plus $0.30 per transaction is charged at checkout. This fee is charged by our payment processing partner Stripe and is passed directly to the client. This fee is not retained by BOTG. The displayed processing fee is an estimate and actual fees may vary slightly based on payment method and card type.
Job Funding: Clients agree to fund jobs at the time of posting. Funds are held securely by our payment partner Stripe until the job is completed and approved. Jobs will remain in Awaiting Payment status until Stripe confirms payment and field agents will not be able to accept unfunded jobs.
Approval Process: Upon receiving a completed job submission you have 72 hours to review and either approve or dispute the submission. If no action is taken within 72 hours the job will be automatically approved and payment will be released to the field agent.
Field agent payment release: When you approve a completed job, BOTG begins releasing payment to the field agent. Actual receipt by the field agent depends on Stripe settlement of your job payment, the field agent’s Stripe Connect verification status, and bank processing. BOTG does not guarantee same-day payment to field agents.
Optional Approval Tips: When approving a completed job you may optionally leave a gratuity for the field agent. If you choose to tip, you authorize a separate charge for the tip amount you select plus an estimated Stripe payment processing fee (2.9% of the tip plus $0.30 per transaction, passed through to you and not retained by BOTG). BOTG does not retain a platform fee on tips; the field agent receives the full tip amount you select.
Disputes: If you believe a submission does not meet the job requirements, use Send back for corrections in the app or email support before the 72-hour review window ends. Formal payment disputes are reviewed at BOTG's discretion. After 72 hours without investor action, the job is automatically approved and payment is released to the field agent.
Refunds: Refunds are available if a job is cancelled before a field agent accepts it. Once a field agent has accepted and begun a job refunds are subject to the platform's dispute resolution process.
Payment Method: All payments must be made exclusively through the BOTG platform using a valid debit card, credit card, or bank account ACH transfer processed through Stripe. Bank ACH transfers may take additional time for first-time verification and for funds to settle. If you need a job live immediately use a debit or credit card. Payments made outside the platform to field agents directly are a violation of these terms and may result in immediate account termination.
Fee Summary:
- Client service fee — 15% of job amount — Minimum $2.00
- Stripe processing fee — 2.9% + $0.30 — Per job transaction
- Optional approval tips — Full tip to field agent; Stripe processing fee on tip charged separately
- Minimum job posting amount — $15.00
10. JOB REVIEW & APPROVAL STANDARDS
When reviewing completed job submissions clients agree to:
- Review all submitted photos, videos, and notes thoroughly before approving or disputing
- Approve jobs where the field agent has completed the work as requested in good faith
- Not withhold approval for reasons unrelated to job performance
- Provide specific and honest feedback when disputing a submission
- Not manipulate the approval process to avoid payment for legitimately completed work
Withholding approval without legitimate cause is a violation of these terms and may result in automatic payment release, account suspension, or removal from the platform.
11. RATINGS & REVIEWS
After approving a completed job clients may leave a rating and review for the field agent. Clients agree to:
- Provide honest and fair ratings based solely on job performance
- Not use ratings as retaliation for disputes or personal disagreements
- Not manipulate the review system in any way
Identity verified badge: Clients may see an "Identity verified" badge on a field agent's public profile when that agent has completed third-party identity verification through Stripe Identity (government-issued photo ID plus live selfie match). The badge indicates verification status at the time shown; it is not a guarantee of work quality, licensing, criminal background clearance, or future conduct.
BOTG reserves the right to remove reviews that violate these standards.
12. NO DIRECT SOLICITATION / PLATFORM EXCLUSIVITY POLICY
Clients are strictly prohibited from soliciting, hiring, or conducting business with any field agent they connect with through the BOTG platform outside of the platform. This prohibition includes but is not limited to:
- Requesting a field agent's personal phone number, email address, or any direct contact information
- Contacting a field agent through any channel outside of the BOTG platform including phone, text, email, or social media
- Offering to pay a field agent directly for services that bypass the BOTG platform
- Arranging jobs with a field agent outside of the platform in any way
- Encouraging or incentivizing a field agent to work outside of the platform
All jobs, communications, and payments with field agents connected through BOTG must be conducted exclusively through the platform for a period of 24 months following the completion of your last job together on the platform.
Consequences of Violation: Violation of this policy may result in:
- Immediate and permanent account suspension
- Legal action to recover damages and platform fees lost as a result of the circumvention
- A penalty fee of $500 per occurrence as liquidated damages which both parties agree is a reasonable estimate of harm caused to the platform
13. PROHIBITED CONDUCT
As a client on the BOTG platform you may not:
- Post jobs requesting licensed professional services
- Post jobs below the minimum job amount of $15.00
- Request or authorize interior property access without having legal authority to do so
- Direct field agents to engage with, confront, or disturb any occupant of a property
- Post false or misleading property information
- Attempt to obtain a field agent's personal contact information
- Conduct or attempt to conduct any transaction outside of the BOTG platform
- Use field agent reports in any way that misrepresents them as licensed professional inspections
- Submit false disputes to avoid payment for legitimately completed work
- Create multiple accounts to manipulate ratings, reviews, or platform systems
- Use the platform for any unlawful purpose
14. CLIENT LIABILITY
As a client you accept full liability for:
- Any decisions made based on field agent reports obtained through the platform
- Ensuring properties you submit are legally authorized for documentation services
- Any legal consequences arising from directing a field agent to access a property without proper authorization
- Any misrepresentation of field agent reports to third parties including lenders, buyers, partners, or courts
- Any consequences arising from your violation of these terms
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Boots on the Ground Services LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses including attorney fees arising from your use of the platform, your job postings, your decisions based on field agent reports, any unauthorized property access you directed or authorized, or your violation of these terms.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law Boots on the Ground Services LLC shall not be liable for:
- The accuracy, completeness, or reliability of any field agent report
- Any decisions made by clients based on field agent reports
- Any property damage, personal injury, or financial loss arising from services arranged through the platform
- Any disputes between clients and field agents
- Any unauthorized property access
- Any consequential, incidental, indirect, or punitive damages arising from use of the platform
Boots on the Ground Services LLC's total liability to any client for any claim shall not exceed the total amount paid by that client to BOTG in the three months preceding the claim.
17. DISPUTE RESOLUTION
Any dispute between a client and a field agent is solely between those two parties. BOTG may offer a dispute resolution process at its discretion but is under no obligation to resolve disputes or compensate either party.
Any dispute between a client and Boots on the Ground Services LLC shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits against Boots on the Ground Services LLC.
18. ACCOUNT TERMINATION
Boots on the Ground Services LLC reserves the right to suspend or permanently terminate any client account for violation of these terms, fraudulent activity, abuse of the platform or its field agents, or any conduct deemed harmful to the platform or its users. Termination may occur without prior notice in cases of serious violation.
19. MODIFICATIONS TO TERMS
Boots on the Ground Services LLC reserves the right to update or modify these terms at any time. You will be notified of material changes through the app. Continued use of the platform following notification of changes constitutes your acceptance of the updated terms.
20. GOVERNING LAW & JURISDICTION
These terms shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of law provisions. However as the platform operates throughout the United States users in other states acknowledge that local laws may apply to their use of the platform and are solely responsible for ensuring their use of the platform complies with applicable laws in their jurisdiction.
