BOOTS ON THE GROUND SERVICES LLC

CLIENT ACKNOWLEDGMENT AGREEMENT

Effective Date: June 15, 2026

This Client Acknowledgment Agreement is entered into between Boots on the Ground Services LLC (referred to as "BOTG") and the individual or entity creating a client account on the BOTG platform (referred to as "Client"). Client includes all users who post property documentation requests on the platform including Investors, Wholesalers, Property Managers, Landlords, Homeowners, and any future client roles added to the platform.

1. ACKNOWLEDGMENT OF PLATFORM PURPOSE

I acknowledge and understand that:

• BOTG is a technology marketplace platform only and is not a licensed inspection company, real estate brokerage, appraisal firm, or contracting service of any kind
• All field agents on the platform are independent contractors and not employees, agents, or representatives of BOTG
• BOTG does not direct, supervise, or control the manner in which field agents complete their work
• BOTG serves solely as a technology platform connecting clients with independent field agents and is not a party to any service agreement between a client and a field agent
• The platform is available for use throughout the United States and I am solely responsible for ensuring my use of the platform complies with all applicable laws in my jurisdiction

2. ACKNOWLEDGMENT OF SERVICE LIMITATIONS

I acknowledge and understand that:

• All services performed through the BOTG platform are strictly limited to visual observation and photo or video documentation only
• Field agents are not licensed home inspectors, structural engineers, contractors, appraisers, electricians, plumbers, pest inspectors, or real estate professionals of any kind
• Field agent reports, photos, notes, and documentation submitted through the platform are the personal visual observations of an independent individual only
• Field agent reports do not constitute a professional licensed inspection, appraisal, structural assessment, or any other regulated professional service of any kind
• I will not use field agent reports as a substitute for licensed professional inspections required by law, my lender, or my own due diligence process
• I will obtain all appropriate licensed professional inspections as required before making any significant property, financial, purchasing, or legal decision

3. ACKNOWLEDGMENT OF FINANCIAL RESPONSIBILITY

I acknowledge and understand that:

• All job requests must be posted at a minimum amount of $15.00
• A client service fee of 15% of the job amount with a minimum of $2.00 will be charged at checkout
• A Stripe payment processing fee of 2.9% plus $0.30 per transaction will be charged at checkout and is passed directly to me as the client
• I am solely responsible for all decisions made based on field agent reports obtained through the platform
• BOTG is not liable for any financial loss, damages, or legal consequences arising from my use of the platform or field agent reports
• All payments for jobs must be made exclusively through the BOTG platform
• I agree to fund job requests at the time of posting
• I agree to review and approve or dispute all completed job submissions within 72 hours of submission
• I understand that failure to act within 72 hours will result in automatic approval and payment release to the field agent
• I understand that approving a job initiates payout processing for the field agent, but actual transfer depends on Stripe settlement, Connect verification, and bank processing and may not be immediate
• I agree to pay for all legitimately completed jobs in a timely manner
• I understand that withholding payment for legitimately completed work without valid cause is a violation of these terms and may result in automatic payment release, account suspension, or removal from the platform
• I understand that client service fees are non-refundable once a job has been accepted by a field agent

4. ACKNOWLEDGMENT OF PROPERTY AUTHORIZATION

I acknowledge and understand that:

• I must have legal authority or documented authorization for any property I submit for documentation through the platform
• I am solely responsible for ensuring that field agents have safe, legal, and properly authorized access to any property submitted
• I am required to notify any tenants, occupants, or property managers as required by applicable law before scheduling any field agent visit
• I accept full legal and financial responsibility for any consequences arising from any unauthorized property access I direct, authorize, or fail to properly authorize
• I understand that BOTG assumes no liability whatsoever for any legal issues, disputes, trespassing claims, or incidents arising from any property access connected to jobs I post through the platform

5. ACKNOWLEDGMENT OF NO DIRECT SOLICITATION & PLATFORM EXCLUSIVITY

I acknowledge and understand that:

• I may not solicit, hire, contact, or conduct business with any field agent I connect with through the BOTG platform outside of the platform under any circumstances
• I may not request, collect, or use any field agent's personal contact information including phone number, email address, social media handles, or any other direct contact details
• I may not contact any field agent through any channel outside of the BOTG platform including but not limited to phone, text message, email, social media, or in person
• I may not offer to pay any field agent directly for services that bypass the BOTG platform
• I may not arrange, encourage, or incentivize any field agent to perform work outside of the platform in any way
• All jobs, communications, documentation, and payments with field agents connected through BOTG must be conducted exclusively through the platform
• This platform exclusivity requirement applies for a period of 24 months following the completion of my last job with any field agent connected through BOTG
• Violation of this policy may result in immediate and permanent account suspension, forfeiture of any pending payments, legal action to recover damages, and a penalty fee of $500 per occurrence as liquidated damages which I agree is a reasonable estimate of harm caused to the platform

6. ACKNOWLEDGMENT OF REPORT USAGE RESTRICTIONS

I acknowledge and understand that:

• Field agent reports, photos, videos, and notes obtained through BOTG are for my general informational use only
• Field agent reports may not be represented to any third party as a licensed professional inspection, appraisal, structural assessment, or any other regulated professional service
• Field agent reports may not be submitted to any lender, title company, court, insurance provider, or government agency as a substitute for a licensed professional inspection or assessment
• I will not misrepresent the nature, scope, or qualifications of any service performed through the platform to any third party under any circumstances
• Any misrepresentation of field agent reports to third parties is a violation of these terms and may result in immediate account termination and legal action

7. ACKNOWLEDGMENT OF PROHIBITED CONDUCT

I acknowledge and understand that I am prohibited from:

• Posting jobs that request licensed professional services of any kind
• Posting jobs below the minimum job amount of $15.00
• Requesting or authorizing interior property access without having verifiable legal authority to do so
• Directing field agents to engage with, confront, harass, or disturb any occupant of a property
• Posting false, misleading, or inaccurate property information
• Submitting false or bad faith disputes to avoid payment for legitimately completed work
• Conducting or attempting to conduct any transaction outside of the BOTG platform
• Creating multiple accounts to manipulate ratings, reviews, or platform systems
• Using the platform for any unlawful purpose

I understand that violation of any of the above may result in immediate account suspension or permanent removal from the platform.

8. ACKNOWLEDGMENT OF INDEMNIFICATION

I acknowledge and agree that I will indemnify, defend, and hold harmless Boots on the Ground Services LLC, its officers, directors, employees, and agents from any and all claims, damages, losses, or expenses including reasonable attorney fees arising from:

• My use of the BOTG platform
• Any job I post through the platform
• Any decision I make based on field agent reports
• Any unauthorized property access I directed, authorized, or failed to properly authorize
• Any misrepresentation of field agent reports to any third party
• My violation of any part of this agreement, the Client Terms of Service, or the Privacy Policy

9. ACKNOWLEDGMENT OF LIMITATION OF LIABILITY

I acknowledge and understand that to the fullest extent permitted by applicable law:

• BOTG is not liable for the accuracy, completeness, or reliability of any field agent report
• BOTG is not liable for any decisions I make based on field agent reports
• BOTG is not liable for any property damage, personal injury, or financial loss arising from services arranged through the platform
• BOTG is not liable for any disputes between myself and any field agent
• BOTG is not liable for any unauthorized property access
• BOTG's total liability to me for any claim shall not exceed the total amount I have paid to BOTG in the three months preceding the claim

10. ACKNOWLEDGMENT OF DISPUTE RESOLUTION

I acknowledge and understand that:

• Any dispute between myself and a field agent is solely between those two parties and BOTG is not obligated to resolve it
• Any dispute between myself and Boots on the Ground Services LLC shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
• I waive my right to participate in any class action lawsuit against Boots on the Ground Services LLC

11. ACKNOWLEDGMENT OF TERMS

I acknowledge that I have fully read, clearly understood, and voluntarily agree to:

• The BOTG Client Terms of Service
• The BOTG Client Platform Disclaimer
• The BOTG Privacy Policy
• This Client Acknowledgment Agreement in its entirety

I confirm that no one has pressured or misled me into agreeing to these terms and that I am entering into this agreement of my own free will with a full understanding of its contents.
